1. Acceptance of Terms

By accessing or using any services provided by Codivion LLC ("we," "our," or "us"), including but not limited to our website, web applications, mobile applications (iOS and Android), games, APIs, and any related services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

2. Description of Services

Codivion LLC designs, develops, and publishes software products across multiple platforms, including:

  • CodivUpload — A multi-platform social media management tool for scheduled publishing, API integration, and whitelabel agency solutions.
  • Mobile Applications — Native and cross-platform applications for iOS and Android, distributed through the Apple App Store and Google Play Store.
  • Games — Mobile games and interactive experiences developed and published under the Codivion brand for Apple and Android devices.
  • Custom Solutions — Tailored software, whitelabel platforms, and bespoke applications built for businesses with specific requirements.

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

3. User Accounts

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • You must be at least 13 years of age to create an account. If you are under 18, you must have parental or guardian consent.

4. Acceptable Use

You agree not to:

  • Use our services for any unlawful purpose
  • Upload or distribute malicious software or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the integrity of our services
  • Reverse engineer, decompile, or disassemble our software
  • Use our services to infringe on intellectual property rights
  • Resell or redistribute our services without authorization
  • Use automated systems or bots to access our services without permission

5. Mobile Applications & App Store Terms

When you download or use our mobile applications through the Apple App Store, Google Play Store, or any other distribution platform, you also agree to the terms and conditions of that platform. In the event of any conflict between these Terms and the platform's terms, the more restrictive terms shall apply.

  • Mobile applications are licensed, not sold, to you for use strictly in accordance with these Terms.
  • We are solely responsible for our applications, their content, maintenance, support, and any warranty claims — not the platform provider (Apple, Google, or others).
  • You may only use our mobile applications on devices that you own or control, in accordance with the applicable platform's usage rules.
  • Apple Inc. and Google LLC are third-party beneficiaries of these Terms with respect to our mobile applications distributed through their platforms.

6. In-App Purchases & Subscriptions

Certain features within our applications may be available through in-app purchases or subscriptions. All purchases are processed by the respective platform (Apple App Store or Google Play Store) and are subject to their refund policies. Subscription terms, pricing, and renewal details are presented within the application prior to purchase.

You may manage or cancel subscriptions through your device's platform settings (Apple ID or Google Play account). Cancellation takes effect at the end of the current billing period.

7. Intellectual Property

All content, features, and functionality of our services — including but not limited to text, graphics, logos, icons, images, audio, video, game assets, software, and code — are the exclusive property of Codivion LLC and are protected by copyright, trademark, and other intellectual property laws.

Content you create using our tools remains your property. By using our services, you grant us a limited license to process and store your content as necessary to provide the services.

8. API Usage

If you access our services through APIs, you agree to comply with any rate limits, usage guidelines, and documentation provided. Excessive or abusive API usage may result in throttling or suspension of access.

9. Whitelabel Services

Agencies using our whitelabel features are responsible for ensuring their end users comply with these Terms. The agency assumes responsibility for managing their clients' access and data within the whitelabel environment.

10. Limitation of Liability

To the maximum extent permitted by law, Codivion LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to our websites, mobile applications, games, and APIs. Our total liability shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that our services will be uninterrupted, error-free, or completely secure. This disclaimer applies to all services including web platforms, mobile applications, and games.

12. Termination

We may terminate or suspend your access to our services at any time, with or without cause, upon reasonable notice. Upon termination, your right to use the services ceases immediately, and you must delete all copies of our applications from your devices. Provisions that by their nature should survive termination shall remain in effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States. Any disputes arising from these Terms shall be resolved in the competent courts located in Sheridan County, Wyoming.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through our website, within our applications, or via email. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
